Terms for purchasing KeyFlow and other digital XHL Audio products
Scope and provider
These Terms apply to purchases of digital software products from CHRIS XHALE Musikproduktion, Hafenstraße 49, 68159 Mannheim, Germany ("XHL Audio"). Conflicting customer terms apply only if expressly accepted by us.
Product presentation and contract
The presentation of a product on the website is an invitation to place an order. The customer submits a binding order through Stripe Checkout. The contract is formed when payment is successfully confirmed and XHL Audio makes the download and license available. The order confirmation and these Terms may be stored or printed by the customer.
Prices and payment
Prices are displayed in euros and include applicable VAT unless the checkout expressly states otherwise. Payment is due immediately and is processed by Stripe using the payment methods shown during checkout. Additional costs are not charged unless clearly disclosed before the order is placed.
Digital delivery
KeyFlow is delivered digitally after successful payment through the confirmation page. The customer receives access to the installer, the User Manual, and the personal license key. No physical item is shipped. The customer is responsible for providing a correct email address and safely storing the download and license key.
System requirements
KeyFlow requires macOS 13 or later on Apple Silicon and a compatible MIDI workflow or DAW. The current system requirements and product functions shown on the product page at the time of purchase form part of the agreed product characteristics.
Usage rights
The software is licensed, not sold. The scope of permitted use is governed by the License Terms incorporated into the purchase. Mandatory statutory rights remain unaffected.
Updates
Maintenance, security, and compatibility updates for the purchased version may be provided. Statutory obligations concerning updates for digital products remain unaffected. A future paid major version is included only if this was expressly stated at the time of purchase.
Defects and support
The statutory rights for defects in digital products apply. Support requests can be sent to business@chrisxhl.de. The customer should install provided updates within a reasonable period after being informed about them.
Liability
We are liable without limitation for intent and gross negligence, injury to life, body or health, guarantees expressly assumed, fraudulent concealment, and liability under mandatory product liability law. For simple negligence involving an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract. Mandatory consumer rights remain unaffected.
Withdrawal
Consumers may have a statutory right of withdrawal. Details, including the special rules for immediately supplied digital content, are set out in the Withdrawal Policy linked during checkout.
Consumer dispute resolution
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
Applicable law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the customer is a consumer, this choice does not remove mandatory protections granted by the law of the country in which the customer has their habitual residence.
