End User License Agreement for KeyFlow
License grant
After full payment, XHL Audio grants the buyer a perpetual, personal, non-exclusive license to install and use KeyFlow on Macs owned or controlled by the buyer for the buyer's own use. The license key may not be shared with another person.
Music created with KeyFlow
KeyFlow may be used in private and commercial music, film, game, broadcast, live-performance, and production work. XHL Audio claims no ownership or royalty in musical works or recordings created using KeyFlow, subject to any third-party rights in material used by the licensee.
Backups and personal devices
The licensee may keep reasonable backup copies of the installer and license key and may use KeyFlow on personally owned or controlled Macs. Access may not be provided as a shared studio, rental, hosted, or software-as-a-service license for other persons.
Restrictions
The software, installer, and license key may not be publicly distributed, rented, leased, sublicensed, or made available to third parties. Technical protections may not be circumvented. Reverse engineering, decompilation, and modification are prohibited except to the extent expressly permitted by mandatory law.
Transfer
The license may not be transferred except where mandatory law permits. For any legally permitted transfer, the original licensee must stop using KeyFlow, delete all copies, and transfer the complete license and materials to the new licensee.
Updates and support
Maintenance, security, and compatibility updates may be supplied for the purchased major version. Future paid major versions are included only when expressly stated. Statutory update obligations and defect rights remain unaffected.
Termination
XHL Audio may terminate the license following a material breach that is not remedied within a reasonable period after notice, unless immediate termination is permitted by law. After termination, use must stop and all copies and license keys must be deleted. Mandatory rights remain unaffected.
Applicable law
German law applies. If the licensee is a consumer, mandatory protections of the law of the country of habitual residence remain unaffected.
